These Terms and Conditions ("Terms") govern your access to and participation in REI Social Club events, websites, communications, and related activities operated by REI Marketing LLC, a Missouri limited liability company ("REI Social Club," "Company," "we," "us," or "our"). By accessing our website, registering for or attending any REI Social Club event, submitting information, or otherwise engaging with REI Social Club, you agree to be legally bound by these Terms.

If you do not agree to these Terms, you must not attend events, submit information, or interact with REI Social Club in any manner.

1. Nature of REI Social Club

REI Social Club is an in-person real estate networking and educational meetup community. Participation is free and does not create any membership rights, fiduciary duties, partnership, joint venture, agency, or advisory relationship.

REI Social Club does not provide investment advice, legal advice, tax advice, financial advice, or guarantees of results.

2. No Professional Advice / No Reliance

All content, discussions, presentations, deal conversations, and materials shared at events, through communications, or via the website are provided for general informational and networking purposes only.

You expressly acknowledge and agree that:

• REI Social Club is not a licensed broker, dealer, investment adviser, attorney, accountant, or fiduciary;

• No information provided constitutes investment, legal, tax, or financial advice;

• You are solely responsible for conducting your own due diligence;

• You should consult your own licensed professionals before making any investment or business decisions;

No profits, outcomes, or results are promised or implied.

You assume all risk for decisions made based on information obtained through REI Social Club.

3. Deal Discussions and Submissions

No Partnership, Agency, or Fiduciary Relationship

Nothing in these Terms, any event, discussion, deal submission, or communication creates any partnership, joint venture, agency, brokerage, employment, or fiduciary relationship between REI Social Club and any attendee, vendor, or third party.

From time to time, real estate deals may be discussed or submitted to REI Social Club.

You acknowledge and agree that:

• REI Social Club has no obligation to pursue, evaluate, present, or respond to any deal;

• REI Social Club may share submitted deals with partners, vendors, buyers, or third parties at its discretion;

• REI Social Club owes no fiduciary duty to any participant;

• REI Social Club does not verify, validate, or guarantee any deal information;

• You bear full responsibility for any deal, referral, or transaction.

4. Vendors, Sponsors, and Advertisers

No Duty to Monitor or Supervise

REI Social Club does not screen, background-check, monitor, supervise, verify, or control the identity, credentials, experience, licensing, conduct, or representations of any vendor, speaker, attendee, or third party. REI Social Club expressly disclaims any duty to monitor, supervise, or control the actions of any participant.

REI Social Club may feature vendors, sponsors, advertisers, or speakers ("Vendors"). Vendors are independent third parties.

REI Social Club:

• Does not endorse, control, or supervise Vendors;

• Is not responsible or liable for Vendor services, advice, pricing, performance, representations, or outcomes;

• Makes no warranties regarding Vendors;

• Is not a party to any agreement between you and a Vendor.

Any interactions with Vendors are solely between you and the Vendor.

Vendor Indemnification

You agree to indemnify, defend, and hold harmless REI Social Club and REI Marketing LLC from any claim, dispute, loss, or liability arising out of or related to your dealings with any Vendor.

5. Assumption of Risk

Third-Party Venues

Events may be hosted at third-party venues not owned, operated, or controlled by REI Social Club. REI Social Club assumes no responsibility for the condition, safety, security, accessibility, or operations of any venue, including parking areas and surrounding premises.

You understand and voluntarily assume all risks associated with attending in-person events, including but not limited to:

• Personal injury

• Illness or disease

• Property damage or theft

• Accidents

• Physical activities

• Alcohol consumption (if applicable)

• Venue conditions, parking lots, and third-party locations

You attend events at your own risk.

6. Release of Liability

To the fullest extent permitted by law, you hereby release, waive, and discharge REI Social Club, REI Marketing LLC, its owners, officers, members, managers, employees, contractors, volunteers, and agents from any and all claims, including but not limited to claims arising from:

• Personal injury or death

• Property damage or loss

• Illness or exposure

• Acts or omissions of third parties

• Venue-related incidents

• Vendor conduct

This release applies whether claims arise from negligence or otherwise.

7. Indemnification

You agree to indemnify, defend, and hold harmless REI Social Club and REI Marketing LLC from any and all claims, damages, losses, liabilities, costs, and expenses (including attorneys’ fees) arising from:

• Your participation in events;

• Your conduct;

• Deal discussions or submissions;

• Interactions with Vendors or other attendees;

• Violation of these Terms.

8. Media Release

By attending any REI Social Club event, you grant REI Social Club an irrevocable, perpetual, royalty-free license to photograph, record, and use your name, likeness, voice, and appearance in any media for marketing, promotional, or business purposes without compensation.

9. Event Changes and Cancellation

Force Majeure

REI Social Club shall not be liable for any failure or delay in hosting events due to causes beyond its reasonable control, including but not limited to acts of God, weather conditions, government actions, venue unavailability, labor disputes, or other circumstances outside its control.

REI Social Club reserves the right to:

• Modify event details;

• Change venues;

• Cancel events at any time;

• Deny access for safety or operational reasons.

As events are free, no refunds or compensation will be provided.

10. Eligibility

Participation is limited to individuals:

• 18 years of age or older;

• Located in or attending events in the United States.

11. Arbitration and Class Action Waiver

Any dispute arising out of or relating to these Terms or REI Social Club shall be resolved exclusively through binding arbitration administered in the State of Missouri.

You waive the right to:

• A jury trial;

• Participate in any class action, collective action, or representative proceeding.

12. Limitation of Liability

To the maximum extent permitted by law, REI Social Club’s total liability shall not exceed $0, as participation is free.

13. Governing Law and Venue

These Terms shall be governed by and construed under the laws of the State of Missouri, without regard to conflict-of-law principles.

14. Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

15. Modifications

No Guaranteed Access or Continuation

REI Social Club reserves the right to discontinue events, modify formats, locations, schedules, or cease operations entirely at any time without notice or obligation.

REI Social Club may update these Terms at any time. Continued participation constitutes acceptance of the revised Terms.

16. Contact Information

Survival

All provisions relating to limitation of liability, indemnification, arbitration, governing law, venue, releases, and disclaimers shall survive termination of participation.

Entire Agreement

These Terms constitute the entire agreement between you and REI Social Club and supersede all prior or contemporaneous agreements, representations, or understandings, whether written or oral.
